1. Section A - Use and Relationship

By using this Website, the User agrees to establish a direct contractual relationship with EdMatrix Private Limited (hereinafter referred to as "EdMatrix"). The User hereby agrees to be bound by the terms & conditions of this Agreement and any other rules or conditions that may be introduced by EdMatrix (from time to time). The User shall only use this Website for personal, non-commercial and lawful purpose. In no event shall the User be permitted to use the Website for any commercial purposes. If you do not agree to be bound by these terms and conditions of this Agreement, you should stop using the Website immediately. No part of this Website is intended to constitute a contractual offer capable of acceptance. Your order constitutes a contractual offer and EdMatrix's acceptance of that offer is deemed to occur upon EdMatrix sending a written confirmation to you indicating that your order has been accepted.

2. Section B - Account and Access

In order to procure Services on this Website and to use certain other parts of the System, you shall be required to create an Account, which will contain certain personal details and Payment Information which may vary based upon your use of the Website as We may not require payment information until you wish to make a purchase. By continuing to use this Website, you represent and warrant that: (i) all information you submit is accurate and truthful, (ii) you have permission to submit Payment Information where permission may be required and (iii) you will keep this information accurate and up-to-date. Your creation of an Account is further affirmation of your representation and warranty. Persons under the age of eighteen (18) are permitted to use the Website only with the supervision of an adult. Payment Information must be provided by or with the permission of an adult. You are not permitted to share your Account details, particularly your username and password with any third party. We accept no liability for any losses or damages incurred as a result of your Account details being shared by you to a third party. If you have reason to believe that your Account details have been obtained by any third party, you should contact Us immediately. 

3. Section C - Communications Facilities and Services

When using any Service or System on the Website you should do so in accordance with the following rules (Failure to comply with these rules may result in your Account being suspended or closed): (i) You must not use obscene or vulgar language, (ii) You must not submit information that is unlawful or otherwise objectionable (this includes, but is not limited to, Content that is abusive, threatening, harassing, defamatory, ageist, sexist or racist), (iii) You must not submit information that is intended to promote or incite violence, (iv) submissions are to made using the English language as We may be unable to respond to enquiries submitted in any other languages, (v) the means by which you identify yourself must not violate the terms and conditions of this Agreement or any applicable laws, (vi) You must not impersonate other people, particularly employees and representatives of EdMatrix or Our affiliates; and (vii) you must not use Our System for unauthorised mass-communication such as "spam" or "junk mail". 

You acknowledge that EdMatrix reserves the right to monitor any and all communications made to Us or using Our System and EdMatrix may retain copies of any and all communications made to Us or using Our System. Any information you send to Us through Our System may be modified by Us in any way and you hereby waive your moral right to be identified as the author of such information. We reserve the right to monitor IP addresses that are used to access the Website and, if you are found to be in contravention of any Website rules or regulations, we reserve the right to terminate your access to the Website, Service and/or Content.

4. Section D- International Use

We make no representation that materials or Content available on or through the Services on our Website are appropriate or available for use in locations outside Pakistan. Accessing the Service from territories where our Content is not in compliance of the local laws is prohibited. If you choose to access the Service from locations outside Pakistan, you do so on your own risk, and you are responsible for compliance with local laws.

5. Section E- Intellectual Property

All Content included on the Website, unless uploaded by Users, including, but not limited to, text, graphics, logos, icons, images, speeches, sound clips, presentations, excel sheets, diagrams, video clips, data compilations, databases, page layout, exams, notes, underlying code, patents, confidential information, software or other intellectual property rights shall at all times remain the exclusive property of EdMatrix, Our affiliates or other relevant third parties (as the case may be). By continuing to use the Website you acknowledge that such material is protected by applicable local and international intellectual property and other laws. You are not permitted to reproduce, copy, distribute, store or in any other fashion reuse material from the Website unless otherwise indicated on the Website or unless given Our express written permission to do so. The User shall ensure that the intellectual property rights of EdMatrix shall not be used for any purpose other than for which We have authorized the User.

The User hereby agrees that the User shall not at any time be permitted to: (i) copy, modify, reproduce, re-publish, sub-licence, sell, upload, broadcast, post, transmit or distribute any of the Content, (ii) record on video or audio tape, relay by videophone or other means the Content provided on the Website, (iii) remove any copyright or other notice of EdMatrix from the Content or (iv) directly or indirectly, infringe, reverse engineer, de-compile, disassemble or otherwise attempt to derive source code or other trade secrets from Our intellectual property rights. Breach by the User of any of the above shall allow Us to immediately terminate this Agreement and/or cease to provide you with any Content, including but not limited to access to the Website.

6. Section F- Content

We may appoint independent sub-contractors to provide Content or use third parties to arrange or supply certain aspects of, or Services in connection with, our Content. You agree that EdMatrix is not responsible for the actions or omissions of such sub-contractors or third-party suppliers. EdMatrix does not in any way represent that the Content and Services shall meet needs of the User. EdMatrix does not make any commitment to you that you will obtain any particular result from your use of the Content or Service or that you will obtain any particular qualification from the Content. EdMatrix does not make any representation, guarantee or commitment to you that the Content or Service Materials shall be error free. EdMatrix does not make any commitment that the Content or Service will be compatible with or operate with your software or hardware. All representations, warranties, terms and/or commitments not expressly set out in this Agreement are hereby excluded to the maximum extent. 

The Content and Services on this Website are for training purposes only. The User hereby agrees and understand that the training style, methods, analogy, explanations and understandings achieved from the Content or Services may vary from person to person. The Content on the Website may not have the same meaning or understanding of a particular educational concept that other contents providers may provide, as each human mind is unique and may provide similar or different training or teachings.

This Website may contain links to other sites. Unless expressly stated, these sites are not under the control of EdMatrix or that of Our affiliates. We assume no responsibility for the content of such websites and disclaim liability for any and all forms of loss or damage arising out of the use of them. The inclusion of a link to another site on this Website does not imply any endorsement of the sites themselves or of those in control of them.

8. Section H - Termination and Cancellation of Service

EdMatrix shall be permitted to immediately terminate this Agreement and/or any Service (with or without cause) by providing a written notice of termination to the User. The User shall be permitted to terminate this Agreement and/or any Service at the conclusion of the Service obtained from this Website. Any advance fee(s), payments or Subscription Fee shall not (in any event) be refunded in part or in full to the User upon termination of this Agreement or any Service. The User shall be solely responsible for timely renewal of subscription of Service.

9. Section I - Services, Pricing and Availability

Whilst every effort has been made to ensure that all general descriptions of Services available from EdMatrix correspond to the actual Services that will be provided to you, We are not responsible for any variations from these descriptions as the exact nature of the Services may vary depending on your individual requirements and circumstances. Where appropriate, you may be required to select the required Services. We neither represent nor warrant that such Services will be available at all times and cannot necessarily confirm availability until confirming your Order. Availability indications are not provided on the Website. We reserve the right to (without notice) change prices and alter or remove any special offers from time to time and as necessary. In addition to the Subscription Fee, the User shall be responsible for paying applicable sales, use, transfer, or other taxes and all duties, whether national, state, or local, which are levied or imposed by reason of the transaction contemplated under this Agreement. No part of this Website constitutes a contractual offer capable of acceptance. Your order constitutes a contractual offer that We may, at Our sole discretion, accept. Our acceptance is indicated by Us sending an order confirmation to you. Time is not of the essence of this Agreement, which means we will aim to fulfil your Order within any agreed timescales, but this is not an essential term of the Agreement and we will not be liable to you if we do not do so. 

10. Section J - Privacy

All personal information that We may collect (including, but not limited to, your name and address) will be collected, used and held in accordance with the laws of Pakistan. We may use your personal information to: (i) provide Services to you, (ii) process your payment for the Services and (iii) inform you of new products and services available from Us. We make no guarantee of any specific results from the use of our Service or Services. No part of this Website is intended to constitute advice and the Content of this Website should not be relied upon when making any decisions or taking any action of any kind. No part of this Website is intended to constitute a contractual offer capable of acceptance.

We give no warranty that the Website or Facilities will be free of defects and / or faults and we do not provide any kind of refund for outages. We provide no warranties (express or implied) of fitness for a particular purpose, merchantability, data loss, accuracy of information, compatibility and satisfactory quality. From time to time, your access to the Website, Services or Content may be interrupted. We accept no liability for any disruption or non-availability of the Website resulting from software issues, server downtime, increased internet traffic, ISP equipment failure, host equipment failure, communications network failure programming errors, regular maintenance, power outages, actions from computer hackers and others acting outside the law, legal restrictions and censorship and other related reasons. In such events, EdMatrix shall not at any time be held liable for any loss or damage caused to the User.

13. Section M - Limitation of Liability

We accept no liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the use of the Website or any information contained therein. You should be aware that you use the Website and its Content at your own risk. We shall not be held liable if any error results, whether directly or indirectly, from Our reliance on information (or modifications to information) provided by User, an employee or independent contractor of the User or anyone that we reasonably believe to be an employee or independent contractor of the User. We work with third-party service providers to provide certain services of the Website and therefore We do not warrant, endorse, guarantee, or assume responsibility for any product or service, including without limitation to third-party services, offered by a third party through the website or any hyperlinked website or service.

If for any reason an arbitrator or a court of competent jurisdiction finds any provision of this Agreement invalid or unenforceable in a specific jurisdiction, such invalid or unenforceable provision shall be enforced to the maximum extent permissible in that jurisdiction and all other provisions of the Agreement shall remain in full force and effect in that jurisdiction and any other jurisdiction. Wherever legally possible, any ineffective provisions of this Agreement shall be deemed substituted with such other provisions as would best fulfil the intentions of the parties as expressed by the provision deemed ineffective and which would have the closest economic effect to such provision deemed ineffective. Any rights or remedies available to Us under this Agreement shall be available for an indefinite period, even after termination of this Agreement.


This Agreement is affirmed and duly accepted by both parties, by way of electronic signatures or acceptance, as prescribed under the Electronic Transactions Ordinance 2002. This Agreement and any amendments hereto, by whatever means accepted, shall be treated in all manner and respects as an original and valid contract between the parties and shall be considered to have the same binding legal effect as if it were an original signed version of the Agreement in paper form and executed in person. Electronic signatures or acceptance of this Agreement shall be treated as equivalent to hand-written signatures and/or acceptance to the terms and conditions of this Agreement. Neither party shall argue that a contract was not formed hereunder based on either (i) the use of electronic means to deliver a signature or to indicate acceptance of this Agreement or (ii) the fact that any signature or acceptance of this Agreement was transmitted or communicated through electronic means. Each party irrevocably waives its right to any defense that it may have due to the electronic signature, acceptance and/or delivery of the terms and conditions of this Agreement. Both parties hereby affirm and acknowledge that both parties shall be permitted to (at all times) use this Agreement, which is executed by way of electronic signatures and/or acceptance as evidence before any court of law or forum.

15. Section O - Changes to the Terms & Conditions

The User’s use of the Website is subject to the terms of this Agreement and any supplemental terms referenced herein or which EdMatrix may present (from time to time) on its Website. EdMatrix reserves the right at any time to modify this Agreement and to add new or additional terms or conditions to the use of the Website by the User. Such modifications and additional terms and conditions shall be effective immediately and automatically incorporated into this Agreement and the User’s continued use of the Website shall be deemed as acceptance to the modified Agreement.

16. Section P - Force Majeure

EdMatrix shall not be liable to the User for  failure to perform any of its obligations or for any loss or damage which may be suffered by the performance or termination of this Agreement arising from causes beyond its reasonable control, including, but not limited to, any acts of God, strikes, lock-out or other industrial disturbances, acts of public enemy, wars, military operations, political unrest, acts of terrorism, blockades, insurrection, riots, epidemics, landslides, earthquakes, storms, viruses, worms, hacks, trojans, glitches, submarine fiber wire breakdown, repair and maintenance, lightning, fire, floods, drought, washouts, explosions, dharna, civil commotion, premature parliamentary election, lockdown, smart-lockdown, coronavirus outbreak, SARS outbreak, dengue outbreak, sabotage, currency restriction, acts or omission of Government, highways authorities, administrations, other competent authority or other forces on the internet that cause disruption to the functionality of the Services or Website or failure to provide a Content caused by a death in the content providers’ family and/or illness of the trainer.

17. Section Q - Miscellaneous

Non- Solicitation: During the existing of this Agreement and for a period of three (3) years from the expiry or termination of this Agreement for any reason, the User shall not directly or indirectly hire, recruit or employ any personnel employed by Us or otherwise discourage such personnel from continuing their employment with Us. 

No Waiver: In the event that any party to this Agreement fails to exercise any right or remedy contained herein, this shall not be construed as a waiver of that right or remedy.

Third Party Rights: Nothing in this Agreement shall confer any rights upon any third party. This Agreement created by these terms and conditions is between the User and EdMatrix

Communications: All notices / communications shall be given to Us either by post to Our premises (see address below) or by email to info@edmatrix.com. 

Law and Jurisdiction: This Agreement and the relationship between you and EdMatrix shall be governed by and construed in accordance with the Laws of Pakistan and EdMatrix and you agree to submit to the exclusive jurisdiction of the Courts of Lahore.

18. Section R - Definitions and Interpretation

In this Agreement the following terms shall have the following meanings:

Account: means collectively the personal information, Payment Information and credentials used by Users to access any Content, Service or communications System on the Website. 

Content: means any text, graphics, images, audio, video, software, data compilations or any other form of information capable of being stored digitally that appears on or forms part of this Website or its Content. 

Facilities: means collectively any online facilities, tools, services or information that EdMatrix makes available through the Website either now or in the future. 

Payment Information: means any details required for the purchase of Services or accesses to this Website. This includes, but is not limited to credit / debit card numbers, bank account numbers, IBAN's and sort codes.

Services: means the services available to you through this Website, specifically use of the EdMatrix proprietary e-learning platform. 

System: means any online communications infrastructure that EdMatrix makes available through the Website either now or in the future. This includes, but is not limited to, web-based email, message boards, live chat facilities and email links.

User / Users: means any third party that accesses the Website. Website: means the website that you are currently using (www.edmatrix.com) and any sub-domains of this site (e.g. subdomain.edmatrix.com) unless expressly excluded by their own terms and conditions.
